General Terms and Conditions (GTC)

I. General Provisions

Scope of application

1.1 These terms and conditions apply to all contracts, deliveries, and other services provided byPartbase GmbHLindenallee 13, 39179 Barleben (hereinafter referred to as "Seller").

1.2 They apply to:

  • Consumers(§ 13 BGB) for all online orders via the webshop as well as other distance selling contracts (see Part A).
  • Entrepreneurs(§ 14 BGB), merchants within the meaning of the German Commercial Code (HGB), and legal entities under public law (see Part B).

1.3 The seller does not recognize any deviating or supplementary terms and conditions of the customer unless the seller has expressly agreed to their validity in writing.

1.4 The contract language is German.

1.5 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers residing in the EU, mandatory consumer protection provisions of their home country remain unaffected.

1.6 If the customer is a merchant or a legal entity under public law, the exclusive place of jurisdiction – to the extent legally permissible – shall be the seller's registered office.


2. Prices and Value Added Tax

3. Incorrect information regarding entrepreneur status / cost regulation

3.1 For orders from outside the EU, we distinguish between:

  • B2B orders(Entrepreneurs who provide a valid VAT ID)
  • B2C orders(Private individuals).

3.2 Indicate in your order that you are an entrepreneur within the meaning of Section 14 of the German Civil Code (BGB) or that you possess a valid VAT identification number.withoutthat this is indeed the case (e.g., no valid VAT ID), we reserve the right to inform youafterwardsto classify as private customers and to calculate all resulting costs. This includes in particular:

  • Thesubsequent surveyor settlement of the legally owed sales tax,
  • IncurredFeesfrom payment service providers (e.g., Stripe) or factoring fees, if higher costs have been incurred for us.

A. General Terms and Conditions for Consumers (B2C)

§ 1 Conclusion of Contract

  1. The products presented in the online shop do not constitute a binding offer, but rather an invitation for you to make an offer yourself.
  2. By clicking the "Buy Now" button (or similar) during the ordering process, you submit a binding offer to conclude a purchase agreement for the items in your shopping cart.
  3. Upon receipt of your order, you will first receive an automatic order confirmation, which simply lists your order and does not yet constitute acceptance of the offer.
  4. The contract is only formed when the seller accepts the offer, either through explicit order confirmation (via email) or by shipping the goods to you.

§ 2 Prices, Shipping Costs, and Payment Terms

  1. All prices displayed in the online shop are net prices in euros. The statutory sales tax is added during checkout and shown separately.
  2. The binding gross total price (including VAT and any shipping costs) will be displayed in your shopping cart before you submit your order. This total amount is decisive for the conclusion of the contract.
  3. Please refer to the information in the online shop for available payment methods (e.g., advance payment, PayPal, credit card).
  4. In the event of late payment, the seller is entitled to demand default interest at the statutory rate and, if legally permissible, to withdraw from the contract.

§ 3 Delivery, Types of Delivery & Transfer of Risk

  1. Complete delivery
    • Choose a complete delivery, your order will only be shipped whenallThe ordered items are available. The delivery date is determined by the item with the longest delivery time.
    • The information on delivery times is non-binding unless otherwise confirmed in writing.
  2. Partial delivery
    • If you opt for partial deliveries (or if this is reasonable for you), the seller will ship available items in advance as soon as they are in stock.
    • Through partial deliveries, it is possible to...multiple shipping costsarise if nothing to the contrary has been agreed upon during the ordering process (e.g., free partial deliveries).
  3. Non-stock items
    • Delivery times for non-stock items are based on information provided by the suppliers and are therefore non-binding. Delays in delivery dates resulting from circumstances at the suppliers' end do not automatically entitle the cancellation of the order.
  4. Transfer of risk
    • The risk of accidental loss or accidental deterioration of the goods passes to the consumer upon delivery to them or an authorized recipient.

§ 4 Retention of Title

The delivered goods remain the property of the seller until full payment of all claims arising from the contract.

§ 5 Right of Withdrawal for Consumers (Distance Selling Law)

  1. Right of withdrawal
    • As a consumer, you are entitled to a statutory 14-day right of withdrawal for distance selling contracts. Please refer to the separate [cancellation policy] (e.g., linked in the order confirmation or on the website) for details.
  2. Consequences of revocation
    • Upon effective exercise of the right of withdrawal, the seller will refund all payments, including any delivery costs (except for the additional costs resulting from a different shipping method), within 14 days, unless another refund method has been agreed upon.
    • They carry theimmediateReturn shipping costs, unless otherwise stated.
  3. Exceptions to the right of withdrawal
    • The right of withdrawal does not apply to goods that are made to customer specifications or tailored to personal needs, are perishable, or are sealed (hygiene items), provided the seal has been removed, etc.

§ 6 Liability for Defects, Liability

  2. Liability
    • The seller is fully liable for intent and gross negligence, as well as for damages resulting from injury to life, body, or health.
    • In cases of simple negligence, liability is limited to breaches of essential contractual obligations (cardinal obligations) and is restricted to foreseeable, contract-typical damages.

§ 7 Return Processing (Voluntary Returns)

  1. Regardless of the statutory right of withdrawal, you can contact our customer service for return requests. A return may be possible as a goodwill gesture if the goods are unused and in their original packaging.
  2. If you voluntarily return the goods without exercising the right of withdrawal, the seller may charge a restocking fee. This will be agreed upon on a case-by-case basis.

§ 8 Data Protection

  1. The seller collects and processes personal data in accordance with the applicable data protection laws (GDPR, BDSG).

B. General Terms and Conditions for Business Customers (B2B)

§ 1 Contract Content, Offer, and Acceptance

  1. If you are an entrepreneur (§ 14 BGB), a merchant within the meaning of the German Commercial Code (HGB), or a legal entity under public law, these provisions apply additionally or take precedence.
  2. A contract is formed as soon as the seller accepts your offer through written order confirmation or delivers the goods. Offers from the seller are, unless otherwise indicated, non-binding and subject to change.

§ 2 Prices, Payment Terms

  1. All prices are net in euros and are subject to the applicable statutory value-added tax (VAT). This VAT will be added during the checkout process.
  2. Shipping and packaging costs, customs duties, or other additional charges will only be displayed in the shopping cart/checkout or in the order confirmation.
  3. If significant increases in material, raw material, labor, or transportation costs occur after the conclusion of the contract and delivery takes place more than 4 months after the contract is concluded, the seller is entitled to charge the prices valid on the day of delivery.
  4. The saleswoman offers various payment methods (advance payment, invoice, credit card, etc.).
  5. In the event of late payment, she may demand default interest at a rate of 8 percentage points above the base interest rate and, if necessary, withdraw from the contract.

§ 3 Delivery, Delivery Periods

  1. Complete delivery and partial delivery
    • Unless otherwise agreed, delivery is made as a complete shipment when all items are available. The delivery period is then determined by the item with the longest delivery time.
    • Partial deliveries are permitted, provided they are reasonable for you. In the case of partial deliveries,multiple shipping costsarise if the contract does not stipulate otherwise.
  2. Non-stock items
    • The delivery time for non-stock items is based on information provided by suppliers and is non-binding. Possible delays due to supply shortages do not constitute grounds for cancellation.
  3. Transfer of risk
    • Upon delivery of the goods to the carrier or freight forwarder, the risk of accidental loss or accidental deterioration passes to you (sale involving shipment).
  4. Self-supply reservation
    • If the seller is not supplied through no fault of her own and despite the conclusion of a congruent cover transaction, she may withdraw from the contract. Any consideration already provided will be promptly refunded.

§ 4 Retention of Title

  1. The seller retains ownership of the delivered goods until full payment of all claims arising from the business relationship (extended retention of title).
  2. The resale of reserved goods is permitted in the ordinary course of business. You hereby assign any resulting claims against third parties to the seller.
  3. In the event of delayed payment or other breaches of contract on your part, the seller is entitled to demand the return of the goods, without this automatically constituting a withdrawal from the contract.

§ 5 Order-related / non-stock items, cancellation & return

  1. Order-related items
    • Articles that were specifically procured at your request or ordered in exceptional quantities andnotItems that are regularly included in inventory are subject to a special risk.
    • The cancellation or return of such items isonly by prior arrangementPossible. There is no general right to cancellation.
    • If a mutual cancellation still occurs, the seller may charge any resulting costs (e.g., cancellation fees, restocking fees).
  2. Take-back regulations
    • In the case of voluntary return of unused, saleable goods, the seller may charge a restocking fee (e.g., 15%, 30%, or more, depending on the type of goods and the required inspection/reconditioning effort).
    • Unless it is a case of incorrect deliveries or defects attributable to the seller, you bear the costs of returning the goods.

§ 6 Notice of Defects, Warranty

  1. You are obligated to inspect the goods immediately upon receipt and to report any defects in writing without delay (§ 377 HGB). Visible defects must be reported within 14 days.
  2. In the event of a justified and timely complaint, the seller shall, at their own discretion, provide subsequent performance (replacement or repair). If this fails, you may demand a reduction in price or withdraw from the contract.
  3. The statutory warranty period can be shortened to 12 months from delivery in the B2B sector, except in cases of intent, gross negligence, and injury to life, body, or health.

§ 7 Limitation of Liability

  1. The seller is fully liable for intent and gross negligence, as well as for injury to life, body, or health.
  2. In cases of simple negligence, liability is limited to the breach of essential contractual obligations (cardinal obligations), but then only to the extent of the typically foreseeable damage.
  3. The liability under the Product Liability Act remains unaffected.

§ 8 Data Protection

The salesperson processes your personal data in accordance with applicable data protection regulations. For details, please refer to the [Privacy Policy (Link)].

§ 9 Final Provisions

  1. Changes or additions to these Terms and Conditions require written form.
  2. If individual provisions of these Terms and Conditions are wholly or partially invalid, the validity of the remaining clauses shall remain unaffected.




C. Additional Notes and Salvatory Clause

  1. No cancellation reason for delivery date postponement.
    • If the delivery is delayed due to circumstances beyond the seller's control (e.g., supply shortages from upstream suppliers), this does not automatically constitute grounds for cancellation.
  2. Salvatory clause
    • If individual provisions of these Terms and Conditions are or become invalid, this shall not affect the validity of the remaining provisions. The statutory provisions shall replace the invalid provision.
